Tech Support: Drive not accessible, Access denied.

Drive not accessible, Access denied.

Have a Vista laptop that just quit booting.  Gets to screen about improper shutdown and whether to boot in "Safe Mode" or normal boot.  It actually won't finish booting in any mode.  Just a blank screen with an 'arrow' cursor that does move around with mouse
but that is all.
The laptop has two hard drives (each 250GB SATA).  Removed them and put the second drive in a desktop machine with Win7Pro  to see if it was accessible.
Worked just fine and copied entire contents to desktop machine.  Then tried the first drive (the C: drive)
and even though the BIOS recognizes it and it shows up in Windows Explorer, I get a "Location is not available" message box with "E:\ is not accessible.
Access is denied."
I have tried using TAKEOWN and CACLS on the drive, rebooting and I still get the same results.
As it always happens, there is some very important data that has not been backup!
Any and all help appreciated.
